Terms of Service

Please read these Terms of Service ("Terms", "Agreement") carefully before using the AdPush platform, website, servers, APIs, or services.

This Agreement is entered into by and between AdPush ("AdPush", "Platform", "We", "Us", or "Our") and any person or entity accessing, registering for, or using the AdPush network as an Advertiser, Publisher, or general visitor ("User", "You", or "Your").

By creating an account, depositing funds, placing ad tags, or otherwise accessing or using AdPush, you expressly agree to be bound by all terms and conditions contained herein. If you do not agree to all of these terms, you are strictly prohibited from using AdPush and must immediately discontinue all use of our services.

1. Acceptance and Eligibility

1.1 Binding Contract: These Terms constitute a legally binding agreement between you and AdPush. By creating an account, you represent that you have read, understood, and accepted these Terms in full.

1.2 Age Requirement: You must be at least eighteen (21) years of age, or the legal age of majority in your jurisdiction, whichever is greater, to register an account or use AdPush.

1.3 Authority: If you are entering into this Agreement on behalf of a company, business, or other legal entity, you represent and warrant that you have full legal authority to bind such entity to these Terms.

1.4 Account Responsibility: You are solely responsible for maintaining the confidentiality of your account credentials (username, password, 2FA secret keys, API tokens) and for all activities that occur under your account. AdPush shall not be liable for any losses caused by unauthorized access to your account.

2. Account Registration and Security

2.1 Single Account Policy: Users are permitted one (1) account per individual or business entity unless explicitly authorized in writing by AdPush. Creating multiple accounts to manipulate referral programs, bypass suspensions, or exploit network mechanics is strictly prohibited and will result in immediate termination of all accounts and forfeiture of all balances.

2.2 Accurate Information: You agree to provide accurate, current, and complete profile information during registration and to keep your account details updated at all times. AdPush reserves the right to suspend or terminate accounts containing false, misleading, or anonymized fraudulent information.

2.3 Right to Refuse Service: AdPush reserves the absolute right to refuse account registration, reject domain submissions, or decline ad campaigns to anyone, at any time, for any reason or no reason, in its sole and absolute discretion.

3. Advertiser Terms and Billing Policy

3.1 Strict Non-Refundable Policy

All payments, deposits, wallet top-ups, prepaid credits, and transactions made to AdPush are 100% final and absolutely non-refundable under any and all circumstances.

  • No Refunds for Unused Balances: Once funds are deposited into your AdPush wallet—whether via Cryptocurrency (USDT, BTC, ETH, etc.), PayPal, Manual Bank Transfer, or any other payment method—they cannot be withdrawn, refunded, reversed, transferred, or exchanged back into cash or fiat currency.
  • Ad Rejections & Campaign Pauses: Rejection of an ad campaign, suspension of a campaign, low performance, or advertiser error in campaign setup does not entitle you to a refund of your deposited funds. Unused balances remain in your wallet solely as non-refundable advertising credits to be used for future campaigns on AdPush.
  • Account Termination or Suspension: If your account is suspended or terminated due to a breach of these Terms, illegal activity, fraud, or violation of AdPush policies, you acknowledge and agree that any and all remaining wallet balances shall be permanently forfeited to AdPush as liquidated damages, and no refund or chargeback shall be issued.
  • Chargebacks & Disputes: Initiating a credit card chargeback, PayPal dispute, or payment reversal against AdPush constitutes a material breach of these Terms. In the event of a chargeback or payment reversal attempt, AdPush reserves the right to immediately terminate your account, permanently forfeit all wallet balances, block your IP addresses and domains across the entire network, and pursue legal action for debt recovery, legal fees, and damages.

3.2 Cryptocurrency Transactions: Cryptocurrency deposits are processed via third-party gateways and verified on the blockchain. AdPush is not responsible for transfer delays, network congestion, incorrect wallet addresses provided by the user, or loss of funds resulting from blockchain errors. Wallet credits are applied only after required blockchain confirmations are completed.

3.3 Ad Content & Compliance: Advertisers are 100% solely responsible for the content of their ad creatives, headlines, descriptions, landing pages, destination URLs, and promoted products or services. While AdPush permits high-yield sensitive ad categories (such as Crypto, Casino, and Adult) where designated:

  • Ads must not contain malware, ransomware, auto-download scripts, phishing links, deceptive tech support popups, or illegal content under applicable laws.
  • Ads must not promote child exploitation, non-consensual sexual content, terrorism, hate speech, or illegal weapons.
  • AdPush reserves the right to reject, suspend, or delete any ad creative at any time without prior notice if it threatens network integrity or violates safety standards.

3.4 No Performance Guarantee: AdPush does not guarantee campaign results, specific Click-Through Rates (CTR), conversion rates, Return on Investment (ROI), sales, or lead generation. Bidding mechanisms (CPC/CPM) dictate auction positioning; budget utilization depends on market competition and publisher availability.

4. Publisher Terms and Traffic Guidelines

4.1 Domain Ownership & Approval: Publishers must own or have explicit legal authority to monetize every domain submitted to AdPush. Ad tags may only be placed on domains that have been submitted, verified, and explicitly marked as "Approved" by AdPush. Traffic sent from unapproved or unverified domains will be automatically dropped, and associated earnings will be forfeited.

4.2 Lightweight Integration & Modifications: AdPush provides lightweight JavaScript loader tags. Publishers shall not modify, alter, obfuscate, reverse-engineer, or tamper with AdPush ad codes, scripts, impression trackers, or click URLs.

4.3 Traffic Quality & Anti-Fraud Shield: AdPush maintains a zero-tolerance policy against invalid traffic, click fraud, and impression manipulation. Publishers are strictly prohibited from generating impressions or clicks through:

  • Automated bots, crawlers, scripts, proxies, VPN pools, or datacenter traffic.
  • Click-farms, incentivized clicks ("pay-to-click"), forced popups/popunders, or deceptive site layouts designed to trick users into accidental clicks.
  • Auto-refresh scripts, invisible iFrames, hidden divs, or stacked ad banners.
  • Self-clicking on placed ads on their own websites.

4.4 Fraud Audits & Balance Forfeiture: AdPush utilizes real-time velocity locks, cryptographic tokens, device fingerprinting, and automated CTR fraud detection algorithms. If AdPush detects suspicious, unnatural, or fraudulent activity on a Publisher’s account:

  • AdPush reserves the right to immediately freeze the account, withhold pending payouts, and conduct a thorough investigation.
  • If fraud or Terms violations are confirmed, all pending and historical unpaid balances shall be permanently forfeited and refunded back to affected Advertisers or retained as network damage remediation.
  • The Publisher’s account and domains will be permanently banned from the AdPush exchange.

4.5 Payout Thresholds & Payments: Payouts are issued upon Publisher request, subject to meeting minimum payout thresholds ($100 USD) and having valid, complete bank/payment details on file. AdPush reserves the right to delay payouts by up to thirty (30) days for routine compliance and traffic verification audits.

5. Affiliate and Referral Program

5.1 Program Rules: Users may earn passive referral commissions based on active referral percentages configured by AdPush. Referral commissions are generated strictly from legitimate Advertiser spend and Publisher earnings.

5.2 Anti-Abuse: Self-referral (creating new accounts under your own referral link to earn commissions on your own spend/earnings) is strictly prohibited. Any detected self-referral schemes will result in the immediate cancellation of all referral earnings and potential termination of the involved accounts.

5.3 Advertiser Withdrawal Restriction: Wallet funds added via top-up cannot be withdrawn through the affiliate payout system. Advertisers may only withdraw funds that were strictly earned through legitimate referral commissions, subject to anti-money-laundering (AML) calculations.

6. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the AdPush platform, its servers, codebase, ad serving engines, APIs, statistical reporting, and services are provided strictly on an "as is" and "as available" basis, without warranties of any kind, either express, implied, statutory, or otherwise.

AdPush expressly disclaims all warranties, including but not limited to:

  • Implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
  • Guarantees of uninterrupted, timely, secure, accurate, or error-free operation of the platform or ad serving engine.
  • Guarantees regarding uptime, ad impression deliverability, server response times, or data retention.
  • Guarantees regarding the accuracy of geographic targeting, device detection, or third-party analytics.

You acknowledge that digital advertising involves third-party networks, decentralized blockchains, internet routing, and hardware distributions that are beyond AdPush’s control. AdPush is not responsible for internet outages, cloud storage failures, cache corruption, database maintenance downtime, or third-party hardware failures.

7. Maximum Limitation of Liability

You expressly agree that AdPush has zero responsibility or liability for any losses or damages arising from your use of the platform.

To the fullest extent permitted by law, in no event shall AdPush, its founders, operators, parent companies, affiliates, officers, directors, employees, agents, or suppliers be liable to you or any third party for any:

  1. Direct, indirect, consequential, incidental, special, punitive, or exemplary damages.
  2. Loss of profits, loss of revenue, loss of data, loss of goodwill, business interruption, or financial losses.
  3. Damages resulting from malware, viruses, trojan horses, or deceptive code contained within ad creatives or third-party landing pages.
  4. Losses resulting from account suspensions, ad rejections, fraud audits, or balance forfeitures.
  5. Losses resulting from unauthorized access to your account, credential breaches, or third-party gateway disputes.

Regardless of the form of action (whether in contract, tort, strict liability, or otherwise), if AdPush is found liable for any damage or loss despite the foregoing provisions, AdPush’s total aggregate liability to you for all claims shall be strictly limited to and shall not exceed the total amount of money you paid to AdPush in the thirty (30) days immediately preceding the event giving rise to liability, or one hundred US dollars ($100.00 USD), whichever is less.

8. Indemnification

You agree to defend, indemnify, and hold harmless AdPush, its operators, parent companies, subsidiaries, affiliates, officers, directors, employees, contractors, and legal representatives from and against any and all claims, damages, obligations, losses, liabilities, costs, debts, and expenses (including but not limited to reasonable attorney’s fees and legal costs) arising from:

  • Your use of or access to the AdPush platform.
  • Your breach or violation of any term or condition of these Terms of Service.
  • Any ad creative, headline, image, targeting parameter, landing page, or product/service promoted under your account.
  • Any website content, domain operation, or traffic method deployed under your Publisher account.
  • Your violation of any third-party right, including without limitation any intellectual property, copyright, trademark, privacy, or proprietary right.
  • Your violation of any applicable local, national, or international law or regulation.

This indemnification obligation shall survive the termination of your account and your use of the AdPush platform.

9. Intellectual Property and Proprietary Rights

9.1 AdPush Property: All software, algorithms, codebase, database schemas, API architecture, CSS/UI designs, logos, trademarks, and documentation related to AdPush are the exclusive intellectual property of AdPush. Nothing in these Terms grants you any right, title, or interest in or to AdPush’s proprietary technology.

9.2 Creative License: By uploading ad creatives, images, headlines, and logos to AdPush, Advertisers grant AdPush a non-exclusive, worldwide, royalty-free license to use, display, resize, cache, transmit, and distribute such assets solely for the technical execution of ad serving across the network.

10. Termination and Suspension

10.1 Termination by User: You may stop using AdPush at any time by pausing your campaigns, removing your ad tags, or requesting account closure. In accordance with Section 3.1, remaining non-refundable wallet balances will not be refunded upon account closure.

10.2 Termination by AdPush: AdPush reserves the right to suspend or terminate your account, pause your campaigns, or remove your websites from the network at any time, with or without cause, and with or without notice.

10.3 Effect of Termination for Cause: If your account is terminated due to violation of these Terms, click fraud, bot activity, spam, or illegal operations, you shall forfeit all accrued earnings, referral bonuses, and advertiser wallet balances. AdPush shall have no obligation to communicate further with accounts terminated for cause.

11. Governing Law and Dispute Resolution

11.1 Governing Law: These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with international commercial legal principles, without giving effect to any choice-of-law or conflict-of-law rules.

11.2 Informal Resolution: Before initiating formal legal proceedings, you agree to contact AdPush support and attempt to resolve any billing or technical dispute informally in good faith.

11.3 Arbitration & Class Action Waiver: You agree that all disputes must be resolved on an individual basis through binding arbitration, and you expressly waive any right to bring, join, or participate as a plaintiff or class member in any class action, collective action, or representative proceeding against AdPush.

12. Severability and Entire Agreement

12.1 Severability: If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be enforced to the maximum extent permissible, and the remaining provisions of these Terms shall remain in full force and effect.

12.2 Entire Agreement: These Terms, together with your account settings, the Privacy Policy, and system parameters, constitute the entire legal agreement between you and AdPush regarding your use of the exchange, superseding all prior oral or written agreements.

12.3 No Waiver: No failure or delay by AdPush in exercising any right or remedy under these Terms shall operate as a waiver thereof.

13. Modifications to Terms

AdPush reserves the right, in its sole discretion, to modify, update, or replace any part of these Terms of Service at any time. Changes become effective immediately. Your continued use of or access to the platform following the posting of any updates constitutes full acceptance of those changes. It is your sole responsibility to review these Terms periodically for updates.
